Welcome to Bloom. These Terms and Conditions govern your access to and use of the Bloom platform, website, and services. By accessing or using Bloom, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

1. Acceptance of Terms

By creating an account, accessing, or using Bloom, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using Bloom on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Bloom is a platform that connects local consumers with local businesses through automatic cashback rewards. Our services include: card linking and cashback earning for consumers; offer creation, transaction tracking, and customer analytics for businesses; and community onboarding, business approval, and economic impact tracking for community managers.

We may modify, suspend, or discontinue any part of the service at any time. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

3. User Accounts

To use certain features of Bloom, you must register for an account. You agree to provide accurate, current, and complete information during registration and to maintain and update your information to keep it accurate.

You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

You must be at least 13 years old to create an account. If you are between 13 and 18 years old, you must have permission from a parent or guardian.

4. Consumer Terms

As a consumer, you may link your debit or credit card to earn automatic cashback at participating businesses, browse offers, request payouts to your PayPal account, and save favorite businesses.

You agree that you are the authorized holder of any card you link to Bloom. Cashback amounts are determined by each business's offers and may change at any time. Payouts are subject to a minimum balance requirement and may incur processing fees. Cashback from each transaction is held for a security period before becoming available for withdrawal. Bloom is not responsible for disputes between you and businesses.

5. Business Terms

As a business owner, you may create and manage cashback offers, view aggregated transaction data and analytics, and manage your business profile.

You agree that all business information you provide is accurate and truthful, that you have authority to represent the business on Bloom, and that you will honor all active offers presented to consumers. Platform fees, where applicable, will be paid according to your billing agreement. You agree not to create fraudulent transactions or otherwise manipulate the system.

6. Community Manager Terms

As a community manager, you may invite and approve businesses to join your community, monitor community health and business directory status, view aggregated impact reports, and communicate with business owners in your community.

You agree that you will fairly evaluate all business applications, represent your community organization accurately, and use community data responsibly and only for the benefit of your community.

7. Prohibited Conduct

You agree not to use Bloom for any illegal purpose, attempt to gain unauthorized access to any part of the platform, interfere with or disrupt the platform or servers, create fake accounts or impersonate others, submit false or misleading information, reverse engineer or disassemble any part of Bloom, use automated systems to access the platform without permission, or harass, abuse, or harm other users.

8. Intellectual Property

Bloom and its content, features, and functionality are owned by Bloom and are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission. You retain ownership of any content you submit, but grant us a license to use it to provide and improve our services.

9. Limitation of Liability

To the fullest extent permitted by law, Bloom shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the platform. Our total liability shall not exceed the amount you have paid to Bloom in the past 12 months, or $100, whichever is greater.

Bloom does not guarantee continuous, uninterrupted access to the platform and is not responsible for temporary downtime or data loss. We do not process payments directly — cashback matching is performed via card fingerprint analysis — and we are not responsible for errors in transaction reporting by participating businesses.

10. Termination

We may suspend or terminate your account at any time for violations of these Terms or for any other reason at our sole discretion. You may also delete your account at any time through your account settings.

Upon termination, your right to use Bloom immediately ceases. Any pending payouts may be forfeited according to our policies. Provisions that by their nature should survive termination will remain in effect.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of significant changes via email or through the platform. Your continued use of Bloom after changes constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the state or federal courts located in Delaware.
